These terms apply to all agreements of PRG International B.V., trading as Unboxedsite (Dutch Chamber of Commerce no. [KvK-nummer invullen], [vestigingsadres invullen]), hereinafter "we", with business customers, hereinafter "you" or "the customer".

1. The preview

A preview site is free and without obligation. We build it from publicly available information about your business. A preview is not publicly indexed, and we remove it within 30 days, or sooner at your request.

2. Formation of the agreement

The agreement is formed once you accept online and we have received the deposit. You confirm you are authorised to act on behalf of the business. We only supply to businesses, in the Netherlands and abroad; consumer law does not apply.

3. Price and payment

The one-off price is € 1,000 excl. VAT: € 500 on acceptance and the remainder at launch. From launch you pay € 29 excl. VAT per month for hosting and maintenance, by direct debit. All amounts exclude VAT. Customers in the Netherlands pay 21% VAT; for customers in another EU member state with a valid VAT number, VAT is reverse-charged; for customers outside the EU, no Dutch VAT is charged. Invoices are issued by PRG International B.V..

4. Term and cancellation

The monthly subscription has a minimum term of 12 months from launch and then continues monthly. After the minimum term you can cancel with one month's notice by email to info@prg-international.com.

5. What's included

Hosting, an https certificate, backups, technical updates and small changes to text and images (up to 30 minutes of work per month). Larger changes or new pages are done after consultation at a price agreed in advance.

6. Domain name and ownership

The domain name is registered in the customer's name. Once the one-off price has been paid in full, you may freely use the texts, photos and design of your site. If you cancel, we will provide your texts and images on request and cooperate in transferring your domain.

7. Content you supply

You warrant that you hold the rights to texts, photos and logos you supply or that we take over from your existing website, and that the content of the site is correct. You indemnify us against third-party claims in that respect.

8. Liability

We do our best to keep your site available but do not guarantee uninterrupted availability. Our liability is limited to the amount you paid us in the 12 months before the damage occurred. We are not liable for indirect damage such as lost revenue, except in case of intent or gross negligence.

9. Payment arrears

If a direct debit fails and you have not paid within 14 days after a reminder, we may take the site offline until payment is received.

10. Governing law

These terms and all agreements are governed exclusively by Dutch law, including for customers outside the Netherlands. Disputes are submitted to the competent court in the district where PRG International B.V. has its registered office.
